Terms of Service

1. Agreement to Terms
By accessing or using ProposAI (“Service”), operated by ProposAI (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
ProposAI is a web-based proposal management platform that enables users to create, send, sign, and collect payment on business proposals using AI-assisted content generation, e-signatures, and payment processing via Stripe.
3. Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use the Service. By using ProposAI, you represent and warrant that you meet these requirements.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at legal@getproposai.com of any unauthorized use of your account.
We reserve the right to terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where practicable.
5. Subscriptions and Billing
ProposAI offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.
- Subscriptions automatically renew unless cancelled before the renewal date.
- You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period.
- We do not offer refunds for partial billing periods, except where required by law.
- We reserve the right to change pricing with 30 days’ notice to existing subscribers.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Send fraudulent, misleading, or deceptive proposals
- Collect payments under false pretenses
- Upload content that infringes third-party intellectual property rights
- Attempt to gain unauthorized access to the Service or other users’ accounts
- Use the Service to send spam or unsolicited communications
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
7. AI-Generated Content
ProposAI uses third-party AI services (including Anthropic’s Claude) to generate proposal content. You acknowledge that:
- AI-generated content may not always be accurate, complete, or suitable for your specific needs.
- You are solely responsible for reviewing and approving all content before sending proposals to clients.
- We do not warrant the accuracy, legality, or fitness of AI-generated content for any particular purpose.
- AI token usage is subject to the limits of your subscription plan.
8. E-Signatures
Electronic signatures collected through ProposAI are intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the EU eIDAS Regulation. Each signature captures the signer’s name, email, IP address, timestamp, and user agent.
You are responsible for ensuring that e-signatures are legally valid for your specific use case and jurisdiction. ProposAI does not provide legal advice.
9. Payments
Payment processing is handled by Stripe. When you connect a Stripe account via Stripe Connect, you agree to Stripe’s Terms of Service. ProposAI does not store full payment card details and is not responsible for payment disputes, chargebacks, or refunds — those are managed between you, your clients, and Stripe.
10. Intellectual Property
You retain all ownership of the content you create using the Service, including proposals, client data, and templates. By using the Service, you grant ProposAI a limited, non-exclusive license to process and store your content solely to provide the Service.
The ProposAI platform, its design, code, and branding are owned by ProposAI and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our express written permission.
11. Data and Privacy
Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPOSAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless ProposAI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.
15. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your data prior to termination where feasible.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in a class action lawsuit or class-wide arbitration.
